AGREEMENT TO OUR LEGAL TERMS

We are Sky Transport Solutions ("Company," "we," "us," "our"), a company registered in California, United States at 121 E. 11th Street, Tracy, CA 95376.

We operate the website skytransportsolutions.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Sky Transport Solutions, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms.

IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.

The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property — We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Your use of our Services — Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to:

  • Access the Services; and
  • Download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or internal business purpose.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

  1. All registration information you submit will be true, accurate, current, and complete;
  2. You will maintain the accuracy of such information;
  3. You have the legal capacity and you agree to comply with these Legal Terms;
  4. You are not a minor in the jurisdiction in which you reside;
  5. You will not access the Services through automated or non-human means;
  6. You will not use the Services for any illegal or unauthorized purpose;
  7. Your use of the Services will not violate any applicable law or regulation.

4. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password.

5. PURCHASES AND PAYMENT

We accept the following forms of payment:

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. Sales tax will be added to the price of purchases as required by applicable law based on your jurisdiction. We may change prices at any time. All payments shall be in US dollars.

6. SUBSCRIPTIONS

Billing and Renewal — Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge. The length of your billing cycle is annual.

Cancellation — You can cancel your subscription at any time by contacting us using the contact information provided below. Your cancellation will take effect at the end of the current paid term.

7. POLICY

8. PROHIBITED ACTIVITIES

As a user of the Services, you agree not to:

  • Systematically retrieve data to create a database or directory.
  • Trick, defraud, or mislead us and other users.
  • Circumvent or interfere with security-related features.
  • Disparage, tarnish, or otherwise harm us and/or the Services.
  • Use any information obtained from the Services to harass or harm another person.
  • Engage in unauthorized framing of or linking to the Services.
  • Upload viruses, Trojan horses, or other harmful material.

9. USER GENERATED CONTRIBUTIONS

We may provide you with the opportunity to create, submit, or post content ("Contributions"). Contributions may be viewable by other users and through third-party websites.

10. CONTRIBUTION LICENSE

You and Services agree that we may access, store, process, and use any information and personal data that you provide following the terms of the Privacy Policy. By submitting suggestions or feedback, you agree that we can use and share such feedback for any purpose without compensation to you.

11. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to: (1) monitor the Services for violations; (2) take appropriate legal action; (3) refuse or restrict access to Contributions; (4) remove files that are excessive in size; and (5) manage the Services to protect our rights and property.

12. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy.

13. TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use the Services. WE RESERVE THE RIGHT TO DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON FOR ANY REASON OR FOR NO REASON.

14. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We cannot guarantee the Services will be available at all times.

15. GOVERNING LAW

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of California.

16. DISPUTE RESOLUTION

Binding Arbitration — If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.

17. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and to change or update information at any time without prior notice.

18. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.

19. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES.

SKY TRANSPORT SOLUTIONS IS A FILING ASSISTANCE SERVICE, NOT A LEGAL REPRESENTATIVE. WE ARE NOT LIABLE FOR FINES, PENALTIES, OR LOSS OF OPERATING AUTHORITY RESULTING FROM INACCURATE INFORMATION PROVIDED BY THE CLIENT OR GOVERNMENT PROCESSING DELAYS.

20. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand due to or arising out of: (1) use of the Services; (2) breach of these Legal Terms; or (3) any overt harmful act toward any other user.

21. USER DATA

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services. You are solely responsible for all data that you transmit.

22. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS.

23. SMS TEXT MESSAGING

Program Description — By opting into any Sky Transport Solutions text messaging program, you expressly consent to receive text messages (SMS) to your mobile number. Sky Transport Solutions text messages may include: account alerts, order updates and responses to inquiries.

Opting Out — If at any time you wish to stop receiving SMS messages from us, you may reply "STOP" to opt-out. Message & Data rates apply. Message frequency varies.

24. CALIFORNIA USERS AND RESIDENTS

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834.

25. MISCELLANEOUS

These Legal Terms constitute the entire agreement between you and us. If any provision is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of remaining provisions.

26. SCOPE OF SERVICE

Each purchased package is valid for one (1) specific vehicle and two (2) active driver slots.

  • Vehicle Locking: The service is tied to the specific Vehicle Identification Number (VIN) provided at the time of purchase. Once a filing has been initiated for that VIN, the service is non-transferable to a different vehicle.
  • Driver Allotment & Turnover: Each package covers up to two (2) active driver slots at any given time. We recognize that driver turnover is a reality in the industry; therefore, you may replace a driver in your allotment if a driver leaves your company. There is no additional charge for swapping a driver, provided that the total number of drivers receiving active filing services does not exceed two (2) per package at any time.
  • Service Period: Your service period lasts for 365 days, beginning exactly on the date of purchase. The 365-day term is continuous and will not be paused or extended due to client or government delays in providing necessary documentation.

27. FEES AND PAYMENTS

Service Fees: The price paid to Sky Transport Solutions covers our professional filing and administrative services only.

Government Fees: IMPORTANT. Our package price does not include government, state, or regulatory fees (e.g., IRP plates, UCR fees, or permit costs). These are third-party costs and must be paid separately. Government fees are non-refundable once paid to the agency.

28. REFUND & GUARANTEE POLICY

We believe in fair billing. Our refund policy is based on whether work has been performed:

  • Unused Packages: If you purchase a package and do not use any services, we offer a 100% money-back guarantee.
  • Used Packages: Once one or more services included in your package have been utilized or initiated, the package is considered "active" and is non-refundable.

29. UPGRADES

Need more? You can upgrade your service tier at any time during your 365-day cycle. Contact support to move to a higher tier; we will simply apply your current balance toward the new package price.

30. AUTO-RENEWAL & CANCELLATION

To ensure your fleet stays compliant without a lapse in coverage, your package will automatically renew after one year.

  • Flexibility: You can opt out of auto-renewal or cancel your subscription at any time.
  • Renewal Refunds: If your package auto-renews and you realize you no longer need it, we will provide a full refund provided no services were used within the new term.
  • Notice: We will provide at least 30 days' notice via email prior to any upcoming renewals or price changes.
